By accessing or using Cortiv ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not agree to these Terms, do not use the Service.
Cortiv connects to your Meta Ads accounts and (optionally) Shopify stores, retrieves your data, displays it in a dashboard, and uses AI to evaluate performance and recommend optimisations. The Service is intended for media buyers, agencies, and ecommerce brands. Some Service features may execute changes to your advertising accounts, but only on your authorisation.
You own your Customer Data. Nothing in these Terms transfers ownership of your Customer Data to us.
You grant us a limited, non-exclusive, worldwide licence to access, store, copy, transmit, modify, and process Customer Data solely as necessary to provide the Service to you. This licence includes processing through subprocessors (cloud infrastructure, AI providers) as described in our Privacy Policy.
Aggregate Data: Subject to your opt-in for Network Insights features (as described in the Privacy Policy), you grant us the right to compute, store, and use Aggregate Data — data irreversibly de-identified and combined across customers — to improve the Service for all customers, develop benchmarks, train and tune our AI features, and produce industry insights. Aggregate Data does not include any data that identifies your workspace, accounts, campaigns, or customers.
We will not sell your Customer Data or Aggregate Data to third parties.
The Service uses AI (including third-party large language models) to generate recommendations, evaluations, and reports. AI Outputs are advisory only. They are based on the data available at the time of generation and may contain errors, omissions, or assumptions that do not reflect your actual situation.
This Service uses the Meta Ads API. By using this Service, you agree to comply with Meta's Platform Terms at developers.facebook.com/termsand applicable advertising policies. We reserve the right to suspend access if your use violates Meta's policies, if Meta restricts our access, or if continued access would create a risk for our other users.
You will not, and will not permit any other person to:
Some features of the Service may be offered free of charge; others are subject to subscription fees described at the time you sign up or upgrade. Fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law. We may change our pricing on at least 30 days' notice; if you do not agree to the new pricing, you may cancel before the change takes effect. Failure to pay may result in suspension or termination of your account.
The Service, including its design, software, content, and trademarks, is owned by Cortiv or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription. Nothing in these Terms grants you any right or licence to our trademarks, logos, or branding without our prior written consent. You retain ownership of your Customer Data as described in Section 5.
The Service integrates with third-party services (including Meta and Shopify) through their published APIs. We are not responsible for the availability, accuracy, or behaviour of those third-party services. Your use of any third-party service is governed by that service's own terms. If a third-party service changes its API, terms, or pricing in ways that affect Service functionality, we will adapt where reasonably practicable but cannot guarantee continuous parity.
Each party agrees to protect the other's confidential information with at least the same care it uses for its own confidential information, and not to disclose such information except as necessary to perform under these Terms or as required by law. Customer Data is treated as your confidential information.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that data will always be accurate. Advertising data accuracy depends on third-party APIs we do not control.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORTIV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (b) ONE HUNDRED DOLLARS (USD $100).
You agree to defend, indemnify, and hold harmless Cortiv and its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from (a) your violation of these Terms, (b) your violation of any third-party rights or laws (including Meta's policies and applicable advertising laws), or (c) the content of any advertising you operate using the Service.
You may cancel your account at any time through the Service or by contacting us. We may suspend or terminate your access to the Service at any time, with or without notice, for any breach of these Terms or if continued access creates risk to the Service or other users. Upon termination, your right to access the Service ends and your Customer Data will be deleted as described in our Privacy Policy. Sections that by their nature should survive termination (including Customer Data ownership, IP, disclaimers, liability limits, and indemnification) will survive.
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-Service notice and update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your account before they take effect.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
These Terms (together with our Privacy Policy) constitute the entire agreement between you and Cortiv regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
